摘要：公司法关涉公司、股东和债权人等多方利益,充满了公司自治和国家强制的因子互动。演进理性主义系公司自治的法哲学基础,外部效应学说与福利经济学理论则为国家强制的介入提供了理论支撑。公司法的私法属性决定了公司自治是公司法律制度的基础,需矫正国家强制的泛化倾向,国家强制应仅以克服公司自治所不及为目的。平衡公司自治与强制的关系应遵循两项范式:在基本范式层面,坚持一般事项自治与特别事项强制的制度逻辑;在具体范式层面,唯有非强制不足以维护公共目的以及公司自治在效率上明显不足时,方可施加国家强制。
The Company Law is related to the interests of companies,shareholders and creditors,so it is full of interaction between company autonomy and state compulsion.The theory of evolutionary rationalism provides the legal philosophical basis for the company autonomy,while the external effect and welfare economics theory provide the theoretical support for the state compulsion.Company autonomy is the basis of the company legal system.The state compulsion should overcome the failure of company autonomy,so the generalization of state compulsory should be corrected.In order to balance the relationship between company autonomy and state compulsion,two rules should be followed:At the basic paradigm,adhere to the institutional logic of general matter autonomy and special matter compulsion;at the specific paradigm,state compulsion can be imposed only if autonomy is not enough to safeguard the public purpose or company autonomy is obviously inefficient.
