摘要：公司可以通过章程限制甚至禁止股权转让,这是公司自治的表现。对于这些限制,除非违反了股东平等原则和损害了股东的核心利益,法院在实践中应予充分尊重,通过尽量合理的安排平衡相关股东和公司的利益,不宜简单地宣布其无效。
Company can limit, even prohibit transfer of shares by articles of association, and this reflects the autonomous of the company. As to those restrictions, the court should respect them in practise, unless they violate the shareholder equality principle and damage the core interest of shareholders. To the greatest extent, the court should banlance the interest of shareholders and companies by the reasonable arrangement, and should not simply announce those restrctions invalid.
