摘要：我国《公司法》第七十二条第四款使有限责任公司股权转让规范成为任意性条款,但这不意味着股权转让的公司章程自治没有边界。确定公司章程自治界限要进行价值判断,公司章程不能禁止股权转让;公司后续章程不能规定特定情形下股东要强制转让股权;公司章程可以规定比公司法规定更为宽松的股权转让条件,也可以规定更为严格的股权转让条件,但不能实际阻碍股权转让;公司章程可以对股权转让条件进行细化规定。违反有限责任公司章程有效规定的股权转让不能对抗公司。
The article 72.4 of our country＇ s Company Law makes provision of limited company＇ s stock right transfer become the arbitrary clause, but this does not mean there is no border in the corporation by-law autonomy of stock right transfer. To confirm the autonomy demarcation line of corporation by-law we should judge the value. The corporation by-law can＇ t forbid stock right transfer, the company＇ s subsequent rules can＇ t stipulate that the shareholder should transfer the stock fight by force under the particular situation, the corporation by-law can stipulate looser stock right transfer terms than the company law＇ s clause,at the same time it can stipulate stricter stock right transfer terms too on the condition that can＇ t hinder stock right transfer actually, the corporation by-law can carry on the thinning regulation to the transfer terms of stock right, the stock right transfer which violates the effective regulation of corporation by-law of limited can＇ t assist the company.
