摘要：目前我国上市公司独立董事没有发挥其应有的作用,而制约我国独立董事发挥应有作用的主要原因是其独立性的缺失。完善独立董事的相关法律制度,改进选任机制和任职资格,健全激励约束机制以及实施"独立第三方"制度等,有利于保障独立董事的独立性和促进其功能的发挥。
At present the independent directors of the listed companies of our country haven＇ t exerted their intrinsic function, the main reason for which is their lack of independence. Perfecting the laws related to independent directors, improving the election and appoint- ment mechanism and qualifications, perfecting the mechanism of encouragement and restriction and implementing the institution of ＂independent third party＂ are propitious to guaranteeing the independence of independent directors and promoting the exertion of their function.
