摘要：近几年来,互联网众筹发展十分迅速,成为个人创业或小微企业融资的新途径。但是,由于互联网众筹在我国是新生事物,发展水平不高,法律和监管制度不完善,在其蓬勃发展的背后,存在着较大的风险和隐患。因此,有必要对互联网众筹进行规制,以利于其健康发展。通过梳理互联网众筹的概念及分类,分析股权众筹和借贷众筹两种融资模式在其发展过程中所面临的法律制度设计方面的障碍,提出完善该两种融资模式相关制度的对策建议。
In recent years,the Internet Crowdfunding is developing very rapidly,it has become a new way to individual entrepreneurs or small businesses financing. However,because it is a new thing in China,the level of development is not high,the legal and regulatory system is imperfect,there is a big risk and hazard behind its booming. Therefore,it is necessary to regulate Internet Crowdfunding,in order to facilitate its healthy development. Combing the concept and classification of Internet Crowdfunding,analysising of the barriers facing the legal system design aspects in its development process of the two financing modes of Equity Crowdfunding and Debit and credit Crowdfunding,proposed some relevant systems suggestions to improve the two financing modes.
