摘要：我国《公司法》关于有限公司股东出资不足民事责任的规定存在着内在矛盾。从公司债权人保护、加强股东资本充实责任以及比较分析、体系解释的角度看,对于有限公司的初始股东,在其他股东不出资时,应与其他股东出资额度不足的情形一样,规定其承担连带责任。
There is inherent contradiction in the regulations of Company Law of the People’s Republic of China about the civil liability of LLC shareholders who offer insufficient capital.From the perspective of protecting corporate creditors,strengthening the liability of shareholders offering sufficient capital,comparative analysis and system interpretation,the initial shareholders of LLC should undertake related liability when other shareholders don’t offer sufficient capital.
