摘要：在判断担保的独立性或从属性时,存在诸多难题,且并不能从传统担保法的路径中得到答案。从路径上而言,对独立性的判断不能建立在从属性推定的路径之上,而应当在打破从属性推定的基础上进行自足的个案判断。在司法实践中,应当基于担保文本的内容而不是名称进行判断;担保的主体差异只是判断的辅助性因素而非决定性因素;对于担保义务的描述而言,独立性条款、单据条款、限制抗辩权条款均为独立性的支持因素,而基础交易援引条款则多为消极条款。最高人民法院在即将出台的司法解释中应当对判断的路径和标准予以明确,以解决司法实践中的判断难题。
Judging the independent guarantees from accessory guaranties is always difficult to do, and the problems cannot be solved through the law of guaranties. The way of presuming ac- cessory guaranties if the texts failed to make them independent is not accurate and clear, the in- dependent nature should be judged on the base of weighting the independent clauses versus the accessory clauses. Specifically, the affirmative clauses for independent guarantees include the business nature of guarantors, the independent clauses, the documentary clauses, the restrictions of defenses, and the quoting form underlying contracts is negative. In the forthcoming Judicial In- terpretation of Independent Guarantees, the rules of independent guarantees should be cleared to satisfy the demand of judicial practice.
