摘要：公司自治是私法自治在公司法领域的体现,但由于"市场失灵"、公司社会责任的缺失及对公司利益相关者保护的原因,国家又要对公司自治行为进行管制,表现为公司法中的强制性规范。公司章程是规范公司组织和活动的自治规则,体现了公司自治性和国家强制的对立与平衡。
Company autonomy is the presentation of autonomy of the private law in the company field.However,because of ＂market failure＂,the lack of corporate social responsibility of companies and stakeholders in the protection of the company,states also conduct the company control of autonomy;it represents peremptory norms of the corporation law.The company charter is autonomic norms which regulate organizations and activities of the company;it embodies antithesis and balance between the company autonomy and the national compulsory.
